Certain features, creator-facing functionality, monetization systems, collaborative creator environments, synchronized playback systems, adaptive playback systems, recommendation systems, or related operational systems may be unavailable in certain jurisdictions or subject to additional eligibility requirements.

The Company reserves the right to refuse access to, restrict, suspend, or terminate access to the Services at any time where legal, operational, safety, moderation, fraud-prevention, monetization, or platform-integrity concerns exist.

Certain functionality of the Services may require account registration.

You are responsible for maintaining the confidentiality and security of your account credentials and for all activity occurring through your account. You must promptly notify the Company of any unauthorized access, suspected security breach, impersonation activity, fraudulent activity, or platform-integrity concern associated with your account.

We may rely on instructions, permissions, representations, and operational activity originating from your account without independently verifying the identity or authority of the individual using the account.

The Company reserves the right to suspend, restrict, recover, disable, or terminate accounts where we reasonably determine that security concerns, fraud-prevention concerns, moderation concerns, monetization abuse, recommendation-system abuse, synchronized playback abuse, adaptive playback abuse, operational concerns, or platform-integrity concerns may exist.

Users are solely responsible for User Content and for ensuring that all uploaded or submitted materials comply with applicable law, these Terms, and related Company policies.

5. Interactive Audio & Adaptive Playback Functionality

The Services may include synchronized playback systems, adaptive playback systems, interactive audio experiences, collaborative listening environments, layered playback functionality, dynamic playback experiences, remix-style transitions, creator-driven interactive experiences, and related operational systems associated with the platform.

Certain creator content, stems, synchronized playback assets, adaptive playback assets, and related creator-facing materials may be processed through interactive playback systems designed to support adaptive listening experiences, collaborative creator functionality, audience engagement, recommendation systems, experimentation systems, and related operational functionality associated with the Services.

Playback experiences may vary based on user interaction, creator settings, operational requirements, recommendation systems, audience-engagement systems, experimentation systems, device capabilities, network conditions, geographic limitations, licensing considerations, moderation requirements, monetization systems, or related operational factors.

The Company reserves the right to modify, optimize, limit, suspend, operationalize, experiment with, or otherwise alter synchronized playback systems, adaptive playback systems, interactive playback experiences, or related operational systems associated with the Services at any time.

6. Recommendation, Personalization & Discovery Systems

The Services may utilize recommendation systems, personalization systems, synchronized playback systems, adaptive playback systems, creator-discovery systems, analytics systems, audience-engagement systems, experimentation systems, and related operational systems designed to support user experiences, creator discovery, audience engagement, monetization opportunities, and platform functionality.

These systems may utilize information relating to user activity, creator activity, playback behavior, engagement history, content interactions, recommendation interactions, creator-following activity, technical information, and related operational information associated with use of the Services.

Recommendation systems and related operational systems are dynamic, evolving, and experimental in nature. The Company does not guarantee recommendation outcomes, creator visibility, playlist placement, synchronized playback exposure, adaptive playback exposure, audience engagement, monetization outcomes, or related operational outcomes associated with the Services.

Users may not manipulate or improperly interfere with recommendation systems, synchronized playback systems, adaptive playback systems, monetization systems, creator-discovery systems, analytics systems, audience-engagement systems, or related operational systems associated with the Services.

7. Public vs Private Platform Visibility

The Services may permit users and creators to designate certain content, creator materials, playlists, creator campaigns, collaborative creator environments, or related creator-facing functionality as public, private, unpublished, invite-only, limited-access, or otherwise operationally segmented.

Where content is made public, certain associated information may become visible to other users of the Services and may appear within recommendation systems, creator-discovery systems, playlists, audience-engagement systems, synchronized playback experiences, adaptive playback experiences, social creator systems, and related operational experiences associated with the Services.

Even where content is designated as private or unpublished, the Company may continue to process, analyze, synchronize, moderate, index, store, operationalize, and otherwise utilize such content in connection with operation, improvement, moderation, fraud prevention, analytics, recommendation systems, adaptive playback systems, and related platform functionality.

The Company does not guarantee confidentiality, discoverability restrictions, operational invisibility, or recommendation limitations associated with uploaded content or creator-facing functionality.

8. Community Standards & Prohibited Conduct

Users must comply with these Terms, the Privacy Policy, Creator Terms, Community Guidelines, Copyright and Intellectual Property Policy, monetization policies, creator-program policies, and related operational policies associated with the Services.

Users may not utilize the Services in any manner that is unlawful, infringing, fraudulent, deceptive, manipulative, abusive, exploitative, unsafe, unauthorized, or otherwise prohibited by the Company.

Prohibited conduct includes impersonation activity, deceptive synthetic-media activity, recommendation-system manipulation, fake engagement activity, monetization abuse, artificial streaming activity, synchronized playback abuse, adaptive playback abuse, moderation circumvention, fraud-prevention circumvention, unauthorized scraping, unauthorized automation, unauthorized AI training activity, and related platform-integrity abuse.

The Company reserves the right to investigate, moderate, limit, suspend, remove, demonetize, deprioritize, disable, or terminate user participation where moderation concerns, monetization concerns, AI-related concerns, fraud-prevention concerns, operational concerns, safety concerns, or platform-integrity concerns arise.

9. User Interactions & Off-Platform Events

The Services may allow users to communicate, coordinate, collaborate, and arrange to meet or interact with one another. Any interaction between users, and any meetup, gathering, performance, concert, party, listening session, event, or other activity that users organize, promote, host, attend, or participate in outside of the Services or in the physical world (each, an “Off-Platform Event”), is solely between the users involved.

The Company does not organize, host, sponsor, supervise, manage, control, endorse, insure, or participate in any Off-Platform Event, even where the Off-Platform Event is announced, promoted, coordinated, or arranged through the Services. The Company is not a party to, and assumes no responsibility or liability for, any Off-Platform Event or any interaction, communication, agreement, transaction, or dispute between users.

You are solely responsible for your own conduct and for any Off-Platform Event you organize, promote, host, attend, or participate in, including for the safety of participants; for obtaining any permits, licenses, permissions, insurance, and approvals; and for complying with all applicable laws and venue, safety, and health requirements.

You acknowledge that interactions with other users and participation in Off-Platform Events may carry risks, and, to the fullest extent permitted by applicable law, you voluntarily assume all such risks, including the risk of personal injury, death, property damage, financial loss, and the acts, omissions, or conduct of other users or third parties.

To the fullest extent permitted by applicable law, you release, waive, and discharge the Company and its affiliates, officers, directors, employees, agents, operational partners, service providers, and licensors (collectively, the “Company Parties”) from any and all claims, demands, liabilities, damages, injuries, losses, costs, and expenses of any kind, whether known or unknown, arising out of or relating to any Off-Platform Event or any interaction between users; and you agree to indemnify and hold the Company Parties harmless from any such claims in accordance with the Indemnification section of these Terms.

Nothing in this Section limits any liability or right that cannot be limited, waived, or excluded under applicable law.

10. Moderation & Enforcement

The Company reserves the right, but not the obligation, to review, moderate, analyze, authenticate, classify, label, limit, suspend, remove, disable, archive, unpublish, synchronize, adapt, operationalize, or otherwise control User Content, accounts, recommendation systems, synchronized playback systems, adaptive playback systems, monetization systems, creator campaigns, collaborative creator environments, and related platform functionality associated with the Services.

Moderation and enforcement activity may occur in connection with rights disputes, moderation concerns, monetization concerns, recommendation-system concerns, AI-related concerns, synchronized playback concerns, adaptive playback concerns, fraud-prevention concerns, safety concerns, legal concerns, advertiser concerns, operational concerns, or related lawful business considerations.

The Company may utilize automated systems, analytics systems, AI-assisted moderation systems, recommendation systems, fraud-prevention systems, experimentation systems, synchronized playback systems, adaptive playback systems, and related operational infrastructure in connection with moderation and enforcement activity.

Nothing in these Terms obligates the Company to host, maintain, monetize, recommend, synchronize, distribute, adaptively process, or otherwise continue supporting any User Content or platform functionality associated with the Services.

11. AI-Assisted Content & Synthetic Media Restrictions

Users may not upload, distribute, generate, synchronize, monetize, adapt, or otherwise utilize AI-assisted content, synthetic media, cloned voice materials, synthesized creator assets, AI-generated creator likenesses, deceptive synthetic media, or related AI-assisted materials in violation of applicable law, intellectual-property rights, publicity rights, Company policies, or operational integrity requirements associated with the Services.

Users may not utilize AI-assisted functionality to impersonate creators or public figures, materially misrepresent creator identity, manipulate recommendation systems, facilitate fake engagement activity, undermine monetization systems, circumvent moderation systems, conduct fraud-prevention circumvention, or otherwise interfere with platform integrity.

The Company reserves the right to require AI disclosures, synthetic-media labeling, creator authentication procedures, operational verification procedures, moderation reviews, or additional operational restrictions relating to AI-assisted functionality associated with the Services.

The Company may limit, moderate, label, segment, deprioritize, demonetize, suspend, remove, or otherwise operationally control AI-assisted materials at any time.

12. Purchases, Monetization & Transactions

The Services may include subscriptions, creator offerings, digital purchases, creator experiences, monetization systems, creator campaigns, commerce functionality, synchronized playback monetization systems, adaptive playback monetization systems, creator-support functionality, advertising systems, and related monetized platform functionality.

Users participating in purchases or monetization activity are responsible for complying with all applicable payment, tax, reporting, licensing, and operational requirements associated with such activity.

Payment processing may be handled by third-party providers, financial institutions, payout providers, commerce providers, infrastructure providers, or related operational partners. Such providers may process information in accordance with their own terms and privacy practices.

The Company reserves the right to freeze transactions, suspend monetization functionality, reverse transactions, recover balances, limit creator monetization activity, or otherwise operationally control monetization systems where rights disputes, fraud-prevention concerns, monetization abuse, payment-processing concerns, recommendation-system abuse, synchronized playback abuse, adaptive playback abuse, or related operational concerns arise.

Participation in monetization systems does not guarantee revenue, creator visibility, synchronized playback activity, adaptive playback activity, recommendation exposure, creator growth, playlist placement, audience engagement, or commercial success.

13. Intellectual Property Rights

Except for the limited rights expressly granted under these Terms, the Company and its licensors retain all right, title, and interest in and to the Services and all related platform systems, including recommendation systems, synchronized playback systems, adaptive playback systems, creator-discovery systems, monetization systems, creator analytics systems, audience-engagement systems, operational systems, software, interfaces, analytics outputs, operational methodologies, trademarks, branding, and related intellectual property and proprietary systems associated with the Services.

Users may not reverse engineer, scrape, replicate, circumvent, interfere with, train unauthorized AI systems on, or otherwise improperly utilize platform systems except as expressly authorized by the Company.

Users who believe that content available through the Services infringes intellectual-property rights may submit notices in accordance with the Company’s Copyright and Intellectual Property Policy.

14. Third-Party Services, Integrations & APIs

The Services may include integrations, APIs, infrastructure providers, payment systems, creator-service providers, analytics systems, social integrations, advertising providers, commerce providers, AI-assisted integrations, and related third-party operational systems.

The Company does not control and is not responsible for third-party operational activity, third-party content, third-party services, third-party payment systems, third-party operational failures, third-party data-processing activity, or related third-party practices associated with use of the Services.

Your use of third-party services or integrations may be subject to separate terms, policies, operational restrictions, monetization restrictions, technical limitations, or privacy practices established by the applicable third party.

Experimental functionality may be unstable, incomplete, unavailable, inconsistent, interrupted, modified frequently, or discontinued without notice.

16. Suspension & Termination Rights

The Company reserves the right, at any time and in its discretion, to suspend, restrict, freeze, demonetize, deprioritize, disable, archive, terminate, remove, unpublish, recover, reclaim, or otherwise operationally control accounts, User Content, recommendation systems, synchronized playback systems, adaptive playback systems, creator-discovery systems, monetization systems, creator campaigns, collaborative creator environments, or related platform functionality.

Such action may occur in connection with violations of Company policies, rights disputes, monetization disputes, recommendation-system concerns, synchronized playback concerns, adaptive playback concerns, AI-related concerns, fraud-prevention concerns, payment-processing concerns, operational concerns, legal concerns, safety concerns, regulatory concerns, or related lawful business considerations.

The Company is not obligated to continue supporting User Content, monetization systems, recommendation exposure, synchronized playback functionality, adaptive playback functionality, creator rankings, playlists, analytics systems, creator campaigns, or related operational functionality following suspension or termination.

Some jurisdictions do not permit exclusion or limitation of certain liabilities. Accordingly, certain limitations may not apply to certain users to the extent prohibited by applicable law.

19. Dispute Resolution, Arbitration & Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT CONTAINS IMPORTANT PROVISIONS GOVERNING HOW DISPUTES BETWEEN YOU AND THE COMPANY WILL BE RESOLVED.

To the fullest extent permitted by applicable law, disputes arising out of or relating to these Terms, the Services, User Content, recommendation systems, synchronized playback systems, adaptive playback systems, monetization systems, creator-discovery systems, operational systems, moderation activity, enforcement activity, or any relationship between you and the Company shall be resolved exclusively through final and binding individual arbitration except where otherwise prohibited by applicable law.

Before initiating arbitration, the parties agree to attempt to resolve disputes informally by providing written notice and engaging in good-faith resolution efforts for at least thirty (30) days unless immediate relief is reasonably necessary.

To the fullest extent permitted by applicable law, users waive the right to participate in class actions, class arbitrations, representative proceedings, coordinated proceedings, collective actions, mass arbitrations, and private attorney general actions.

Nothing in these Terms prevents the Company from seeking injunctive relief, equitable relief, fraud-prevention relief, intellectual-property protection, platform-integrity protection, or emergency operational relief in any court of competent jurisdiction where reasonably necessary to protect the Services or related operational systems.

Any arbitration will be administered by JAMS under its Streamlined Arbitration Rules and Procedures (for claims under the applicable threshold) or its Comprehensive Arbitration Rules and Procedures, together with its Consumer Arbitration Minimum Standards where applicable, each as in effect at the time the arbitration is commenced. The JAMS rules are available at jamsadr.com.

The seat of the arbitration is the State of California. The arbitration may be conducted by videoconference, by telephone, on the basis of written submissions, or in person in the county of your residence or another mutually agreed location, as provided by the applicable JAMS rules.

Allocation of filing, administrative, and arbitrator fees is governed by the applicable JAMS rules and Consumer Arbitration Minimum Standards. Where those Minimum Standards apply, the Company will pay the portion of such fees for which it is responsible thereunder.

You may opt out of this arbitration agreement by sending written notice to support@scori.app within thirty (30) days of the date you first accept these Terms, stating your name and your intent to opt out. Opting out of arbitration will not affect any other provision of these Terms.

20. Indemnification

Users agree to defend, indemnify, and hold harmless the Company and its affiliates, licensors, operational partners, infrastructure providers, service providers, and related operational participants from and against any claims, disputes, investigations, liabilities, damages, judgments, settlements, losses, costs, expenses, and reasonable attorneys’ fees arising out of or relating to use of the Services, User Content, recommendation systems, synchronized playback systems, adaptive playback systems, creator-discovery systems, monetization systems, AI-assisted functionality, collaborative creator environments, fake engagement activity, platform-integrity abuse, infringement claims, publicity-rights claims, fraud-prevention concerns, or violations of these Terms or applicable law.

The Company reserves the right to assume exclusive defense and control of matters otherwise subject to indemnification by users.

21. Governing Law

These Terms, and any dispute or claim arising out of or relating to these Terms or the Services, are governed by the laws of the State of California, without regard to its conflict-of-laws principles, except that the Federal Arbitration Act governs the interpretation and enforcement of the arbitration provisions in the Section titled “Dispute Resolution, Arbitration & Class Action Waiver.”

To the extent any dispute is not subject to arbitration, it will be brought exclusively in the state or federal courts located in California, and you consent to the personal jurisdiction of those courts. The Company makes no representation that the Services are appropriate or available for use in all jurisdictions.

22. General Provisions

These Terms constitute the entire agreement between you and the Company regarding the Services except where supplemented by additional agreements or policies expressly incorporated herein.

If any provision of these Terms is determined to be unenforceable, the remaining provisions shall remain in full force and effect.

The failure of the Company to enforce any provision of these Terms shall not constitute a waiver of that provision.

The Company may assign or transfer these Terms and related operational rights in connection with mergers, acquisitions, restructurings, financings, operational reorganizations, or related business transactions.

You may not assign these Terms without prior written consent from the Company.
